I have been trying to find articles and documents on how to actually upgrade workflows from k2.net 2003 to black pearl but no one seems to have the answer. there is a reference to a beta database project though.

Is there actually a tool to auto upgrade 2003 to BP or is this a manual process?

There is a tool, called the "K2 blackpearl Database Migration Utility".  This what is currently in beta.  If you have K2 portal access you can read more about this utility at the beta page:

Appart from the DB migration tool that Bob mentioned you will also be able to upgrade your K2.net 2003 solutions into BP. Have a look at the following:

This uses the interop templates which is technically beta at the moment.. final release plus some cool enhancements to follow.
